These Terms govern your use of our omnichannel CRM and AI agents for accepting orders across channels and delivering to your customers. These terms govern your use of the AiShopix Hyperlocal Marketplace and our Business Software & AI Platform.

Part A: AiShopix Hyperlocal Marketplace Terms

Governing consumers purchasing goods and local merchants listing stores on the marketplace

1. Marketplace Platform & Intermediary Role

AiShopix operates as an electronic commerce marketplace platform and technology intermediary under applicable laws, including the Consumer Protection (E-Commerce) Rules and the Information Technology Act. Products, catalogs, pricing, inventory, and fulfillment are supplied and executed by independent registered third-party Sellers. The contract of sale for physical goods is directly between the buyer and the seller.

2. Buyer Obligations & Conduct

Buyers agree to provide accurate delivery addresses and active phone numbers, receive accepted orders, pay the full billed amount (including delivery charges and applicable taxes), and avoid fraudulent dispute claims or abusive cancellation patterns.

3. Seller Listing & Compliance Requirements

All brands, stores, and catalogs must be approved by the AiShopix system administrator before appearing on the public marketplace. Sellers warrant that products are authentic, compliant with FSSAI food safety regulations, properly packaged, and that valid GST/tax invoices are issued to buyers. AiShopix reserves the right to audit, suspend, or delist non-compliant stores.

4. Split Payment Routing (Razorpay Route)

Marketplace payments are routed through PCI-DSS compliant gateways using Razorpay Route. Applicable platform commissions and partner shares are deducted at capture, and net merchant balances are disbursed directly to linked bank accounts on a standard T+2 working day schedule.

Part B: AiShopix Business Software & AI Solutions Terms

Service Protection

These terms ensure reliable service delivery and protect the integrity of our platform for all users.

Fair Usage

We define clear boundaries for acceptable use to prevent abuse and ensure fair resource allocation.

2. Services

We provide software to manage conversations across channels (e.g., WhatsApp, Instagram, Email), AI agent functionality, analytics, and related services. We may change or improve features over time.

3. Accounts & responsibilities

  • You are responsible for account credentials and activity.
  • You must comply with the policies of integrated platforms (e.g., WhatsApp Business, Instagram).
  • You represent that you have the rights to process data you connect to the Service.

Messaging compliance

  • Promotional messages may only be sent to users who have explicitly opted in through a clear consent flow.
  • Opt-out requests such as STOP and equivalent supported-language keywords must be honored immediately.
  • We maintain consent status and timestamps so message eligibility can be audited before campaigns are sent.

4. Acceptable use & Channel Compliance

You agree not to misuse the AiShopix services. For example, you must not:

  • No illegal, abusive, unrequested bulk messaging, or spam activity.
  • Must comply strictly with Meta's WhatsApp Commerce Policy, WhatsApp Business Terms, and TRAI telecom guidelines.
  • Respect explicit opt‑in/opt‑out rules (e.g., honoring STOP requests immediately).
  • No reverse engineering, unauthorized API access, or circumventing platform rate limits.

5. Fees & billing

Fees are as described on the Pricing page. Applicable taxes and messaging channel costs (e.g., Meta WhatsApp conversation template fees) are your responsibility. We reserve the right to suspend services for overdue payments.

6. Data ownership & Privacy

You retain full ownership of all customer data, contact lists, and message content uploaded to the platform. You grant AiShopix a worldwide, royalty-free license to host, process, and transmit such data solely to provide and improve the Service.

7. Indemnification

You agree to defend, indemnify, and hold harmless AiShopix, its directors, employees, and partners against any third-party claims, regulatory fines, legal fees, or damages arising out of your violation of Meta policies, sending unrequested bulk messages (spam), or non-compliance with applicable data protection laws.

8. Availability & support

We strive to maintain high service uptime (99.9% target). Maintenance windows will be communicated in advance whenever feasible.

9. Disclaimers & Limitation of Liability

The Service is provided 'as is'. To the maximum extent permitted by law, AiShopix shall not be liable for any indirect, incidental, special, or consequential damages (including lost revenue or Meta WhatsApp account bans resulting from merchant activity). Our total aggregate liability is capped at the fees paid by you in the 3 months preceding the event.

10. Termination & Meta Account Suspensions

Either party may terminate the account upon notice. We reserve the right to immediately suspend or terminate your account without refund if Meta restricts or flags your WhatsApp Business Account for spam, policy violations, or suspicious activity.

11. Intellectual Property

AiShopix retains all rights, title, and intellectual property in the CRM software, AI workflows, algorithms, and interface designs. Nothing in these Terms grants the Merchant any rights to our underlying software code or trademarks.

12. Data Processing Addendum (DPA)

This DPA governs the processing of end-user personal data. AiShopix agrees to: (a) Process data solely on documented instructions from the Merchant; (b) Ensure all personnel handling data are bound by confidentiality; (c) Implement appropriate technical safeguards; and (d) Notify the Merchant within 48 hours of verifying any confirmed personal data breach.

13. Marketplace & Payment Routing

AiShopix operates as a technology and marketplace platform. We utilize Razorpay Route to facilitate split payments between you (the Merchant), your Partners (if applicable), and our platform fees. By using our services and linking your Razorpay account, you authorize AiShopix to automatically calculate, route, and deduct applicable platform commission fees and partner revenue shares at the time of transaction capture. Settlements to your linked bank account are processed by Razorpay on a T+2 schedule (2 bank working days after the payment), subject to Razorpay's terms of service and risk policies.

14. Governing law

These Terms are governed by the laws of India. Disputes will be subject to the exclusive jurisdiction of the courts in Bengaluru, India.

15. Changes to Terms

We may update these Terms from time to time. Continued use of the platform following published changes constitutes your acceptance.

What is the role of AiShopix in the marketplace?
AiShopix operates as an electronic marketplace platform and technology intermediary connecting buyers, independent local retailers/merchants ("Sellers"), and delivery partners. Except where expressly specified, AiShopix does not manufacture, sell, store, or own the physical products listed on the marketplace. The contract of sale for physical goods is directly between the buyer and the seller.
Are all stores and products on AiShopix verified?
Yes. All merchants, brands, and device catalogs undergo administrative review and approval before being listed on the AiShopix Marketplace. Sellers are required to certify the authenticity, safety, and legal compliance of their listed items.
How are marketplace split payments handled?
Online transactions on the marketplace are processed via PCI-DSS compliant payment gateways, including Razorpay Route. When a customer pays, funds are automatically routed between the merchant, delivery logistics, and applicable platform commission fees. Sellers receive their settlements on a standard T+2 banking schedule.
Can I use AiShopix for commercial purposes?
Yes, our services are designed for commercial business use. You are granted a limited, non-exclusive, non-transferable license to use our platform to manage your business communications and workflows, provided you adhere to our Acceptable Use Policy.
What happens if I violate the Terms of Service?
Violations, such as sending spam or engaging in illegal activities via our agents, will result in immediate suspension of your account. In severe cases, we reserve the right to terminate your account permanently without refund and report activities to relevant authorities.
Who owns the data I put into AiShopix?
You retain full ownership of your customer data and business content. By using our service, you grant AiShopix a license to host, copy, and process this data solely for the purpose of providing the service to you.
Are there age restrictions for using AiShopix?
Yes, you must be at least 18 years old to create an account and legally enter into this binding agreement. If you are accessing the service on behalf of a company, you represent that you have the authority to bind that entity.
How often are these terms updated?
We update our terms periodically to reflect changes in our service or legal requirements. We will notify you of significant changes via email or a dashboard notification. Continued use of the service implies acceptance of the new terms.
